General Terms and Conditions of Sale

1. PURPOSE AND SCOPE

1.1 These General Terms and Conditions of Sale shall apply to the purchase and sale of products and services between Info World White Web, S.L. (hereinafter, “IWWW”) and its customers (hereinafter, “Customer”).

1.2 The Customer expressly accepts all the terms of these General Terms and Conditions of Sale, having full knowledge of their content by accepting them during the customer registration process carried out through the tiendasiwww.com website, and also because they are published at the following link:

https://tiendasiwww.com/en/content/3-terms-and-conditions-of-use

1.3 These Terms and Conditions shall also be deemed accepted by the Customer, for all purposes, upon placing any order with IWWW.

1.4 These General Terms and Conditions of Sale exclude the application of any general purchase terms and conditions of the Customer. 1.5 Purchase and sale transactions between IWWW and the Customer will be supplemented, where applicable, by any Special Conditions that may be expressly agreed upon by the parties. Any other conditions not expressly accepted in writing will be null and void.

2. ORDER

2.1 Once the registration process in our system is complete, the Customer may place their order through the following means:

a. E-commerce: Through the website www.tiendasiwww.com, following the established purchase procedure.

b. By telephone: (+34) 963 66 12 56, Monday to Friday (excluding holidays) from 9:00 a.m. to 2:00 p.m.

c. In writing: By email to [email protected]

d. In person: At our facilities located at Avda Primado Reig, 32 bajo, 46009 Valencia, Spain.

2.2 Placing an order implies full acceptance of the prices, the description of the products for sale, and these General Terms and Conditions of Sale. All orders are subject to availability. For an order to be considered valid, it must receive express acceptance from IWWW. Orders placed through e-commerce will be governed by the conditions indicated in the system created for this purpose.

3. PRICE

3.1 Sale prices are set in Euros (€) and do not include VAT or any other tax, fee, or charge, which will be added to the invoice at the corresponding legally established tax rates.

3.2 The price does not include advice, installation, training, or any other type of technical support, beyond what is specified in the warranty terms described in these General Terms and Conditions of Sale.

3.1 3.3 Prices listed on IWWW's e-commerce platform are subject to change without notice, including technical specifications.

3.4 If a Customer places an order for products with an incorrect price, IWWW will inform them of the correct price and, if applicable, accept the order, provided the Customer expressly confirms the correct price.

3.5 Prices for offers, quotes, proformas, and reservations are valid for a maximum of 24 hours and may change, after prior notification to the Customer, in the event of an error, a change in pricing, or an agreement between IWWW and the Customer.

4. INVOICING AND PAYMENT METHODS

4.1 The Customer may make payment by credit or debit card or bank transfer, without prejudice to other special payment methods that may be agreed upon with the Customer.

4.2 IWWW reserves the right to refuse transactions or payment methods that raise doubts about their validity or legality. 4.3 If IWWW has authorized credit terms for the client, payment will not be considered complete until IWWW has received the full amount.

4.4 Overdue amounts not paid by the Client will accrue late payment interest of 2% per month from their due date. An amount will be considered overdue when, upon reaching the invoice due date, it has not been paid in full. The client will be responsible for any expenses incurred due to non-payment. Late payment interest and bank return invoices must be paid in cash. IWWW may apply any amount received from the client to any previous overdue invoice, allocating the funds first to cover costs, expenses, and late payment interest, if any, and lastly to the principal of the debt.

4.5 The Client consents to IWWW issuing invoices electronically.

5. SHIPPING AND TRANSPORT

5.1 The goods will be shipped to the address provided by the customer at the time of purchase, allowing for dropshipping to end customers at no additional charge. If the customer does not provide a shipping address, the address registered in our customer database will be used.

5.2 For an order to be shipped that day, it must be confirmed, paid for, and verified before 5:00 PM (17:00) on the same day.

5.3 The delivery time will generally be 24 hours in mainland Spain and 48 hours in the Balearic Islands. Same-day delivery is available for locations in the Valencian Community and Murcia. For more specific information on conditions and other destinations, please consult the Sales Department. The transport agencies we primarily work with are SEUR, DHL, VIAXPRESS, PALIBEX, and CORREOS EXPRESS. IWWW reserves the right to choose the most suitable company in each case to offer the best service to the Customer.

5.4 The stated delivery times are estimates and are not binding. IWWW will make every effort to deliver the products within the established timeframe. Delays in meeting these deadlines will not entitle the Customer to claim direct or indirect damages or any compensation, refuse the order, or suspend the fulfillment of any obligation, especially the obligation to pay.

5.5 For orders delivered through Viaxpress, there will be two billing cycles for shipping costs: the first until 1:00 PM and the second until 6:00 PM.

5.6 IWWW offers the Customer a new delivery service provided by SEUR for Saturday delivery. The cost of this special service is €12 + VAT, and is subject to a maximum order weight of 10 kg and a taxable amount equal to or greater than €200. Deliveries will be made according to SEUR's 1:30 PM service terms, with Saturday delivery. This service is available for mainland Spain (please inquire about availability for other destinations). In the event of a delay beyond the agreed delivery deadline, compensation will consist of a refund of the shipping costs paid by the customer. Delays caused by the recipient's absence or change of address, unknown recipient or address, non-payment of shipping costs, additional charges, or refunds, closure for holidays, late deliveries on a second delivery attempt, force majeure or acts of God, or other causes not attributable to the transport company will not be considered a breach of the delivery deadline.

6. RECEIPT

6.1 It is the Customer's responsibility to verify upon receipt of the goods that the delivery corresponds to the order placed, is listed on the invoice, and is correct in its presentation, condition, documentation, and packaging. Claims in this regard will only be accepted within 24 hours of receipt by the Customer for shipments made by a transport agency. Any deficiencies in the external packaging must be noted on the carrier's delivery note at the time of delivery. No claims for internal damage may be made after 7 calendar days, as stipulated in Law 15/2009 of November 11, on the contract for the land transport of goods; Chapter V, Article 60.

6.2 Unjustified refusal to accept the products, according to the agreed delivery method, will entitle IWWW to consign them to the Customer, without prejudice to IWWW's rights to payment of the corresponding price.

6.3 Any postponement of the shipment of the delivery order must be confirmed in writing and only if the goods have not yet been handed over to the carrier for distribution. Once the goods have been shipped, no order cancellations or delivery postponements will be accepted.

7. TRANSFER OF OWNERSHIP AND RISK

7.1 The risk of loss or damage to the goods is transferred to the customer upon delivery to the address indicated in the order. When the customer arranges for transport (shipping costs borne by the customer), possession and risk of loss or damage are considered transferred upon shipment of the products to the delivery location.

8. QUALITY/QUANTITY DEFECTS

8.1 The Customer must inspect the products to determine if they have any quality defects, such as discrepancies between the ordered and delivered product, external damage or defects, broken warranty seals, etc.; as well as quantity discrepancies with respect to the order, whether too much or too little.

8.2 The Customer must notify IWWW within 24 hours of receipt of any such quality and/or quantity defects through the email [email protected]

8.3 If no claim is filed within this period, it will be understood that the merchandise has been received by the Customer in perfect condition in terms of quality and quantity.

8.4 If the claim is deemed valid, the After-Sales Department will rectify the quality and/or quantity defects.

9. PRODUCT RETURNS

9.1 Commercial returns must always be processed through our online services.

9.2 The customer may return the product within 15 calendar days of purchase, provided the product has not been unsealed from its original packaging, used, installed on other equipment or in any other installation, or subjected to disassembly not performed by IWWW.

9.3 Commercial returns do not apply to used products, custom-made products, electronic licenses, or custom configurations requested by the customer.

9.4 The customer has 3 calendar days from the confirmation date of our system to send the product to IWWW with shipping prepaid and clearly marked with our authorization number. After this period, the request will be rejected.

9.5 If the product does not meet the Commercial Return conditions, the Customer will have 15 days to collect their product from IWWW at their own expense (shipping costs to be borne by the Customer) from the date they are notified of the rejection. Any delay in collecting the product after the 15-day period will incur an additional storage fee of €3 per day. IWWW may retain the product until full payment of the amounts due. After 30 days from the notification of the rejection, IWWW may also require the immediate return of the product, upon payment of the shipping and storage costs.

9.6 If the product meets the Commercial Return conditions, a credit will be issued to the Customer for future purchases from IWWW, equivalent to the current selling price of the product, provided that this price does not exceed the price paid by the Customer. In the latter case, the credit will be equal to the price originally paid for the product. This balance will be paid within 5 business days.

10. WARRANTY CONDITIONS

10.1 The warranty for products purchased by the Customer from IWWW that are subsequently distributed to consumers and users will be managed directly between the Customer and said end consumers and users.

10.2 The Customer must comply with the conditions established in Royal Legislative Decree 1/2007, of November 16, which approves the consolidated text of the General Law for the Defense of Consumers and Users and other complementary regulations.

10.3 IWWW provides the Customer with detailed information from manufacturers regarding products that have their own authorized Technical Assistance network, and in such cases, they are subject to the warranty conditions and procedures established by those manufacturers.

10.4 Outside of these cases, IWWW generally offers the Customer a 2-year warranty on the sale of new products. Those products originating from the used goods warehouse (indicated on the invoice as OUTLET Warehouse) will have a 1-year warranty. The warranty period begins on the date of purchase.

10.5 The warranty is provided to the Customer named on the purchase invoice and is non-transferable.

10.6 The warranty covers only manufacturing defects in the product.

10.7 Warranty claims must be processed through the email [email protected]

10.8 Once the corresponding RMA number (“Return Merchandise Authorization”) has been obtained, the Customer must send the defective product to IWWW's facilities. The Customer will be responsible for the shipping costs.

10.9 IWWW will not accept any shipment that has not been previously authorized by our After-Sales service through the assignment of an RMA number.

10.10 In order to reduce processing times, once the product defect has been verified by the After-Sales department, a credit will be issued to the Customer for future purchases from IWWW, equivalent to the current selling price of the product, provided that this price does not exceed the price paid by the Customer. In the latter case, the credit will be equal to the price originally paid for the product.

10.11 If the product presented as defective is found not to actually have such a defect, IWWW may charge the product owner €15 plus VAT to cover handling and verification costs incurred by the After-Sales department.

10.12 In this case, the customer will have 15 days to collect their product from IWWW, with shipping costs to be paid by the Customer, from the date they are notified of the rejection. Delays in collecting the product, once the 15-day period has expired, will incur an additional storage fee of €3 plus VAT per day. IWWW may retain the product until full payment of the amounts due. After 30 days from the notification of the rejection, IWWW may also demand the immediate removal of the product, upon payment of shipping and storage costs.

10.13 The warranty will be automatically voided in the following cases:

Loss or tampering with any of the manufacturer's and/or distribution channel intermediary's control labels and/or those of IWWW.

When the damage or malfunction is due to incorrect use, failure to follow the instructions in the accompanying manual, as well as accidents, misuse, impacts, breakage, incidents, or malfunctions caused by other factors not attributable to normal operating conditions.

When the repairs involve maintenance, adjustment, inspection, or cleaning.

Use in unsuitable environments (dusty, exposed to direct sunlight, subject to vibrations, extreme temperatures [below 5°C and above 40°C], humidity outside of limits [below 10% and above 95%], and power outlets without grounding or surge protection).

Improper use of installed software or use of illegal software.

Damage caused by viruses or cyberattacks.

A lifespan shorter than the established warranty period.

Products not intended for sale to end consumers (OEM, bulk, and similar) that have been sold to an end consumer without being integrated into a computer or peripheral device. 10.14 IWWW shall not be liable to the Client or any third party under any circumstances for any direct, indirect, consequential, or related losses or damages arising from the subject matter of this contract or the improper functioning of the product, including personal injury, damage to property other than the subject matter of the contract, or loss of profits. Any commitments and obligations of the Client arising from existing warranties between the Client and its customers that exceed those stated above and that have not been expressly accepted by IWWW in writing shall be the sole responsibility of the Client.

11. LIMITATION OF LIABILITY

11.1 IWWW provides no warranty and is not liable for the unsuitability of the products for the purposes intended by the Client.

11.2 The Client is solely responsible for the use and installation of the products, as well as their proper storage, and agrees to defend, indemnify, and hold IWWW harmless from any costs, fees, damages, claims, expenses, or proceedings arising from such liability. 11.3 IWWW shall not be liable under any circumstances for any costs, charges, or damages incurred as a result of any breach by the Customer of its obligations under these General Terms and Conditions of Sale, nor for the Customer's violation of any law or regulation concerning consumer protection, health, or public order.

12. EXPORT RESTRICTIONS

12.1 The Customer acknowledges that the products sold by IWWW may be subject to local or international export control provisions and regulations, and that without the necessary export or re-export authorizations from the competent authorities, the products sold may not be sold, leased, assigned, or transferred, nor used for any purpose other than that agreed upon. The Customer is responsible for complying with such provisions and regulations.

12.2 In particular, the Customer agrees to comply with the export control provisions enacted by the United States, as well as the legislation enacted by the European Union and its Member States in this regard.

13. INTELLECTUAL AND INDUSTRIAL PROPERTY

13.1 The intellectual and/or industrial property rights of the trademarks sold, the offer, the information accompanying it, the products and/or services, as well as the software, etc., incorporated in or related to them, belong to the respective owners of said rights. Therefore, their total or partial copying or transfer of use to third parties is expressly prohibited without the prior express consent of the owner, as is their use by the Client for purposes other than fulfilling the order.

13.2 All intellectual and industrial property rights arising from or related to data or documents provided or prepared by IWWW shall remain with IWWW, unless otherwise agreed. IWWW does not grant the Client any right or license with respect to the information or material transmitted.

13.2 13.3 The Customer may not, without the prior written authorization of IWWW or, where applicable, the manufacturer or supplier, modify, alter, cover, or omit the trademarks or trade names on the products.

14. GENERAL CONDITIONS

14.1 If any provision of these General Terms and Conditions of Sale is deemed invalid, illegal, or unenforceable, this will not affect the validity and effectiveness of the remaining provisions.

15. FORCE MAJEURE

15.1 IWWW will not be liable for the total or partial non-performance or delay in the performance of its obligations to the Customer if such non-performance or delay is caused by force majeure affecting IWWW, its suppliers, or carriers, including strikes, other labor or industrial contingencies, unavailability of products, etc. If the cause persists for more than one month, either party may cancel all pending product orders without any obligation to provide compensation or indemnity to the Customer.

16. PRIVACY POLICY

16.1 IWWW recognizes the importance of protecting the privacy and rights of its Customers and guarantees their proper handling in full compliance with current legislation.

16.2 By registering on the IWWW website, the Customer expressly consents to the processing of their personal data as described in the following link:

https://tiendasiwww.com/en/content/2-legal-notice

17. APPLICABLE LAW AND JURISDICTION

17.1 These General Terms and Conditions of Sale shall be governed by and construed in accordance with the laws of Spain. 17.2 In case of litigation, the contracting parties submit to the Courts and Tribunals of Valencia with express waiver of any other jurisdiction that may correspond to them.
